Note for group name clarity

Initially our group's name was Augusta Film.  The name was officially changed to Southeastern Filmmakers around 2007-2008 to reflect increasing memberships from Columbia, SC and Charleston, SC.  MGH 6-26-2026

Augusta Film Bylaws 4-18-2006 – Final Proof

ARTICLE I NAME

The name of this organization shall be Augusta Film. Its website is augustafilm.com

ARTICLE II MISSION, ACTIVITIES, & LIMITATIONS

Augusta Film is a social network for people who actively pursue the art and craft of filmmaking. Augusta Film does not produce films; its members do.


1 – Augusta Film promotes communications between local filmmakers by offering network gatherings.


2 – Augusta Film seeks to improve the production value of local films by conducting educational activities and providing connections to production resources.


3 – Augusta Film encourages the attraction of film industry productions to our area.


Augusta Film is not a business venture, or a political, social, religious, or cultural action organization.

Augusta Film does not finance member productions or endorse member productions.

ARTICLE III BOARD OFFICERS AND BOARD DUTIES

Augusta Film Board Officers must enforce the Mission statement, organize the Activities, and keep the group on its path.  There shall be a four member Board comprised of a: President, Vice President, Secretary, and a Treasurer.  Only “Voting Members”, ARTICLE V, are eligible for holding a position in the Augusta Film Board. An annual election for all Board Officers will be held at a regular Augusta Film meeting, not a Board meeting, ARTICLE VII MEETINGS.  Newly elected Board members take office immediately after the election results are announced.  A Board officer who is not returning shall supervise the election.


President 

To uphold and execute the mission statement.

Conduct meetings or designate another group leader to conduct a meeting.

Supervises the other leadership positions and Webmaster.

Has the authority to mass email sent to the group.  A mass email must have the approval of one other Augusta Film Officer.

Be the liaison, or appoint a liaison, to the Mayor’s film office.  The appointment must have the approval of one other Augusta Film Officer.


Vice President

Preparation of press releases for the President.

To make certain Augusta Film has a meeting place.

Survey the calendar to determine meeting conflicts with Holidays, etc, and present to the President a meeting dates as per ARTICLE VII MEETINGS.

Executes aspects of the Mission Statement as directed by the President.


Secretary

To maintain a contact list and crew database.

To keep abreast of local productions.


Treasurer

Maintains the account responsible for maintaining the website and or keeps track of donations from members for the maintenance of the website or promotional items.

ARTICLE IV Official Support Personnel

Support Personnel or those appointed or hired by the President with the approval of one Augusta Film Officer.  The Support Personnel do not vote in matters pertaining to the Board.  Support Personal can vote in elections only if they meet the criteria of “Voting Members” described in ARTICLE V.


Liaison to the Mayor

As per the direction of the President


Web Master

Follows the directions of the President.

Emails must show only one member’s address.

Can be a paid job.

The website should be inviting.

Emails must be from the Augusta Film email address and will not contain personal or commercial advertising.


Notes on the Web Forum

The Forum and its topics will be moderated with the criteria of the ARTICLE II MISSION STATEMENT, ACTIVITIES, & LIMITATIONS. The following topics meet this criteria:

     Active productions - for member producers to communicate production information and needs

     Film equipment for sale

     Famous Films

     Production Techniques

     Writing Craft

     Members may freely express their personal views in the content of their productions but not on the website governed by the Augusta Film Board.

ARTICLE V MEMBERSHIP

The advantage to membership in Augusta Film is networking.  Some of our members collaborate on their own projects.  Others just like to talk film.

Membership should be free.  Occasional donations can be accepted for the purposes of maintaining the website or purchasing group promotional items.  Donations should not be sought on the website as this might to deter possible members.  Donations are most likely given in the form of purchases on behalf the Augusta Film Board.


Two types of members: Non-Voting and Voting


Non-Voting Members

Film production enthusiasts who occasionally attend a meeting or help on a production, but not with the frequency or intensity as to give the group direction.


Voting Members

Members who attend half of the meetings, participate on three Augusta Film member productions per year (not connected to a member’s “day job”), and are at least 18-years of age are eligible to vote for officers. When a member does an act of participation, it is recommended they email the Secretary, who keeps a member database.

ARTICLE VI TERMINATING / SUSPENDING MEMBERSHIPS

The concept of Terminating or Suspending Memberships applies only to a member’s actions against Augusta Film.  This course of action does not apply to discrepancies between members on their productions.

Any person’s membership in Augusta Film can be terminated for the following reasons:

     Inappropriate use of the mailing list

     Fraudulent productions

     Misrepresentation of Augusta Film

     Conduct at Meetings or on the Website in contradiction to ARTICLE II of Augusta Film or it operations.


Termination / Suspension Procedure

A Board member presents a written complaint for one of the above reasons to the rest of the Board.

The Board has a private hearing with the member in question.

The Board first votes on taking action or non-action, with three of four votes needed for action.

If action is voted, the Board votes between Termination or Suspension with three of four Board votes being required for Termination.

Suspension limits will then be discussed and the President will determine the Suspension.

ARTICLE VII MEETINGS

Augusta Film will hold its meetings on the third Tuesday of each month.

The Augusta Film Board will have quarterly meetings.  The President can call a special Augusta Film meeting or an Augusta Film Board meeting.  The President must notify members of special meetings.

ARTICLE VIII LIABILITY

Augusta Film does not assume liability for the productions of anyone.

ARTICLE IX EMBLEMS, INSIGNIA AND UNIFORMS

Emblems, insignia and/or uniforms may not be executed without approval of the Board of Directors.

ARTICLE X DISTRIBUTION OF BYLAWS

Copies of these bylaws, when accepted, shall be furnished to all members.  The Secretary's copy shall be kept with the minute’s book.

ARTICLE XI AMENDMENTS TO BYLAWS

Any new amendments to the Bylaws shall not be in conflict with ARTICLE I OR ARTICLE II.  If the purpose of the group needs to be changed, then another group must be started, independent of Augusta Film.

ARTICLE XII RATIFICATION OF BY-LAWS

The Bylaws will be ratified by a simple majority of Augusta Film meeting attendees, at the scheduled meeting Tuesday April 18, 2006, who are eligible to be “Voting Members” as described by the terms of membership in ARTICLE V.
